1. Agreement To Terms. These Terms of Service govern your access to and use of SameDay Media Prestige, The Prestige website, member dashboard, admin tools, Discord resources, mentorship programming, and any related digital services (collectively, the "Services"). By creating an account, purchasing a membership, or using the Services, you agree to be legally bound by these Terms.
2. Eligibility And Account Responsibility. You represent that you are legally able to enter into binding agreements and that all information you provide is accurate and current. You are responsible for account security, device security, and all actions taken through your account credentials. You must promptly notify us of unauthorized access or suspected compromise.
3. Membership Structure. Membership options may include monthly and quarterly plans, or any other plan offered at checkout. Access is activated only after successful payment confirmation. Benefits, channels, content libraries, resources, and support levels can vary by plan and may be changed, improved, paused, or removed at our discretion.
4. Renewals, Billing, And Fees. By purchasing, you authorize recurring renewal processing according to your selected plan cadence unless canceled before renewal. You are responsible for maintaining valid payment capability. Taxes, blockchain network fees, and payment processing costs (if any) are your responsibility unless explicitly stated otherwise.
5. Refund Policy. Unless required by applicable law or explicitly granted in writing by Prestige leadership, all payments are final and non-refundable. Partial use, inactivity, scheduling conflicts, account suspension, or removal due to policy violations do not create automatic refund eligibility.
6. Mentorship Scope And No Income Guarantee. The Services provide mentorship, frameworks, systems, educational content, strategy support, and operational guidance. Nothing in the Services is a promise or guarantee of revenue, virality, client outcomes, platform approval, audience growth, or specific business results. Your execution, market conditions, and platform dynamics are outside our control.
7. Acceptable Conduct. You agree not to harass, threaten, abuse, impersonate, defraud, spam, scrape, reverse engineer, or disrupt any member, mentor, staff member, platform integration, automation, or infrastructure. You may not post unlawful content, infringing material, doxxing content, or information that violates rights of others.
8. Confidentiality And Internal Materials. Templates, strategies, docs, prompts, training videos, dashboards, internal operations, and member communications are confidential proprietary materials. You may not reproduce, resell, publish, sublicense, leak, or distribute these materials outside the program without prior written consent.
9. Community Moderation And Discretionary Removal. Prestige may suspend, restrict, or terminate access at any time, with or without notice, for policy violations, abuse, payment failure, legal risk, operational risk, or any conduct we determine is harmful to the community, brand, mentors, or members. We may remove members at our sole discretion.
10. Platform Integrations. The Services may rely on third-party providers (including but not limited to Discord, Vercel, hosting providers, payment processors, blockchain networks, social platforms, and AI services). We are not responsible for downtime, API failures, account limits, policy changes, security incidents, or service interruptions caused by third parties.
11. Intellectual Property. All Prestige branding, logos, service marks, methods, software components, written content, and original materials are owned by SameDay Media Prestige and protected by applicable intellectual property laws. Except for limited personal membership access, no license is granted.
12. Data, Records, And Compliance. We may keep records related to memberships, payments, scheduling, moderation, and support. You agree to comply with all applicable laws, regulations, and platform terms relevant to your use of the Services and your own content/business operations.
13. Limitation Of Liability. To the fullest extent permitted by law, Prestige and its owners, mentors, contractors, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, account access, clients, or business opportunities arising from or related to the Services.
14. Disclaimer Of Warranties. The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, or error-free operation.
15. Indemnification. You agree to defend, indemnify, and hold harmless Prestige and its affiliates from any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from your misuse of the Services, policy violations, unlawful conduct, or infringement of third-party rights.
16. Modifications. We may revise these Terms at any time. Updated versions become effective when posted. Continued use of the Services after updates constitutes acceptance of the revised Terms.
17. Governing Law And Disputes. These Terms are governed by applicable law in the jurisdiction selected by Prestige operations. You agree to attempt good-faith resolution through support before formal proceedings. If any section is deemed unenforceable, the remaining sections remain in full effect.
